Terms of Service

1. Agreement

This End User License Agreement (“EULA”) is a legal agreement between you (“End User” or “you”) and Broad Arrow, Inc. (dba “CrewSheet,” “we,” “us,” or “our”). CrewSheet provides a workforce scheduling and communication platform designed for construction trades and similar industries (“Software”). By accessing or using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this EULA.

2. License Grant

Subject to the terms and conditions of this EULA, CrewSheet hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software solely for your internal business purposes. This applies across all software tiers or versions.

3. Restrictions

You may not:

  • Modify, adapt, or create derivative works from the Software.
  • Rent, lease, sublicense, sell, or distribute the Software to third parties.
  • Reverse engineer, decompile, or disassemble the Software.
  • Use the Software for any unlawful purpose or in violation of applicable laws.
  • Damage, disable, overburden, or impair CrewSheet servers or networks.
  • Send unsolicited messages or communications, or send messages that are harassing, defamatory, or otherwise objectionable.
  • Remove or obscure any copyright, trademark, or proprietary notices.

4. Intellectual Property

The Software is the property of CrewSheet and is protected by copyright, trademark, and other intellectual property laws. You may not claim ownership rights to the Software or any modifications thereof.

5. Messaging Compliance

You are responsible for ensuring that all SMS and email communications sent through the Software comply with applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any applicable state or local regulations. You represent that you have obtained appropriate consent from all message recipients and that your messages are sent for legitimate business purposes related to workforce scheduling and communication.

6. Your Data

You retain ownership of all data you enter into the Software, including crew member information, job data, and message content. You are responsible for the accuracy and legality of the data you provide. We process your data solely to provide the Service as described in our Privacy Policy.

7. Payment and Subscription

Access to the Software requires a paid subscription. You are responsible for all charges incurred through the cancellation date. Refund requests must be submitted within 30 days of subscription start and are assessed on a case-by-case basis. Refunds will not be granted for issues arising from misuse of the Service or failure to understand its features.

8. Termination and Suspension

CrewSheet reserves the right to suspend or terminate your access to the Software at its sole discretion, for any reason, with or without notice. Your access may be suspended for breaches of this EULA pending investigation or resolution. Upon termination, your right to use the Software ceases immediately.

9. Disclaimer of Warranty

The Software is provided “as is” without warranty of any kind, either express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. CrewSheet does not warrant that the Software will operate uninterrupted or error-free.

10. Limitation of Liability

In no event shall CrewSheet be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with this EULA or your use of the Software, including, without limitation, damages for loss of profits, business interruption, or loss of data. CrewSheet's total liability for direct damages shall not exceed the amounts paid by you for the Software in the twelve (12) months preceding the claim.

11. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of California, USA, excluding its conflicts of law principles. Any disputes arising from this EULA shall be subject to the exclusive jurisdiction of the courts located in California.

12. General

This agreement constitutes the entire understanding between the parties and supersedes all prior agreements. CrewSheet reserves the right to modify these terms at any time. Continued use of the Software after changes constitutes acceptance of the modified terms. If you have questions, contact us at help@crewsheet.io.
